Terms of Service

1. Acceptance of Terms

By accessing or using the Konverse mobile application and website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

These Terms constitute a legally binding agreement between you and Konverse. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Konverse is a language learning platform that connects learners with native speakers through VoIP voice calls. Our Service includes:

• Instant matching with native speakers in 24+ languages
• High-quality VoIP voice calling
• 156 conversation prompts to facilitate natural conversation
• Minute-based pricing with no subscription required
• User accounts and balance management

3. Eligibility

You must be at least 13 years of age to use our Service. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms.

By using the Service, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Immediately notify us of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

5. Payments and Minutes

5.1 Purchase of Minutes

Learners purchase minutes to connect with native speakers. Minutes are purchased through Apple In-App Purchase and prices are displayed in your local currency before purchase.

5.2 No Refunds

All minute purchases are final and non-refundable, except as required by law or at our sole discretion in cases of technical issues that prevent you from using the Service.

5.3 No Expiration

Purchased minutes do not expire and remain in your account until used. However, if your account is terminated for violation of these Terms, unused minutes will be forfeited.

5.4 Worker Payments

Native speakers who work as "Konversers" earn money for completed calls. Payment terms for workers are provided separately in the Konverser Agreement.

6. User Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Harass, abuse, threaten, or discriminate against other users
• Use offensive, abusive, or inappropriate language during calls
• Record conversations without explicit consent from all participants
• Share personal contact information to circumvent the platform
• Attempt to manipulate the matching algorithm or gaming the system
• Impersonate another person or misrepresent your identity
• Use the Service for commercial solicitation or advertising
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or attempt to extract source code
• Use automated tools, bots, or scripts to access the Service

7. Content and Intellectual Property

7.1 Our Content

The Service, including all content, features, functionality, conversation prompts, designs, logos, and trademarks, are owned by Konverse and protected by copyright, trademark, and other intellectual property laws.

7.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial language learning purposes.

7.3 User Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property, and we may use them without restriction or compensation.

8. Privacy and Call Recording

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy.

Important: We do NOT record the content of your conversations. All calls are private and encrypted. However, we do collect metadata such as call duration, timestamp, and participants for quality assurance and matching improvements.

9. Disclaimers and Limitations

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9.2 Not a Language Learning Guarantee

While our Service facilitates language practice, we do not guarantee any specific learning outcomes. Your progress depends on your effort, practice frequency, and other factors beyond our control.

9.3 User Interactions

We are not responsible for the conduct of other users, the quality of conversations, or any disputes between users. We screen and approve native speaker applicants but cannot guarantee their teaching abilities or conduct.

9.4 Technical Issues

We are not liable for call quality issues, dropped connections, or other technical problems caused by your internet connection, device, or third-party service providers.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KONVERSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Konverse, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another user or third party
• Your conduct during calls or interactions with other users

12. Termination

We may suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Behavior that harms other users or our Service
• Extended period of inactivity

You may terminate your account at any time through the app settings. Upon termination, your unused minutes will be forfeited and you will not be entitled to a refund.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

13.2 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except for small claims court matters or injunctive relief. You waive your right to participate in class action lawsuits.

14. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Konverse regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
